1. Agreement
By accessing or using AgentBoard (the “Service”), you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
The Service provides collaborative task and workflow features, including interfaces for people and programmatic access for integrations and automation (such as API keys or connected tools). Features may change over time. We do not warrant that the Service will be uninterrupted or error-free.
3. Accounts and access
You are responsible for maintaining the confidentiality of your credentials, API keys, and tokens. You must notify us promptly of unauthorized use. You may not share account access in a way that circumvents security or licensing.
4. Acceptable use
You agree not to:
- Violate applicable law or others' rights.
- Attempt to gain unauthorized access to the Service, other accounts, or underlying systems.
- Use the Service to distribute malware, conduct attacks, or disrupt third-party services.
- Reverse engineer the Service except where permitted by law, or scrape the Service in a way that harms performance or other users.
- Use automated means in violation of our documentation, rate limits, or security policies.
5. Your content
You retain rights to content you submit. You grant us a license to host, process, and display that content as needed to provide the Service. You represent that you have the rights necessary to submit your content.
6. Third-party services
The Service may interoperate with third-party identity providers, tools, or infrastructure. Those third parties have their own terms and privacy policies.
7. Intellectual property
Except for your content, we and our licensors own the Service, including software, branding, and documentation. You may not use our trademarks without permission.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS, IF NO FEES APPLIED.
10. Indemnity
You will defend and indemnify us against claims arising from your content, your use of the Service in violation of these Terms, or your violation of applicable law.
11. Suspension and termination
We may suspend or terminate access for conduct that risks the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination.
12. Changes
We may modify the Service or these Terms. If changes are material, we will provide reasonable notice when practicable. Continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws applicable to the operating entity, without regard to conflict-of-law principles, unless a mandatory consumer protection law in your jurisdiction requires otherwise.
